The Corporate Social Responsibility (CSR), Corporate Citizenship or Business and Society („B” & „S") agenda has taken off since the 1980s, with a huge number of reasons involved in mobilising around it. It could be astonishing, but among these motives the public policy motives (laws, coercive and binding forms of statutory regulations etc.) are not on the forefront of the. evolving CSR-agenda. There is an even more confusing global public discussion about the role of multinational corporations in modern societies without considering the (welfare) state as the main traditional regulator and controller of private entities and their social responsibilities. In line with these facts, some authors envision a specific governance crisis, where increased social expectations towards big business go hand in hand with the growing inability of existing (and weakening) welfare states to find proper regulatory answers. Clearly enough, there is a tendency to marginalize the role of public policy and to over-emphasize the role of various actors and fragmented motives in the promotion of socially responsible business movement. The first part of this paper examines critically the reasons for corporate society mobilisation on CSR issues, the types of motives involved and their impacts on CSR-policies. The following main motives and concepts for CSR are briefly identified and discussed: reactive CSR; CSR as legitimisation; CSR as riskmanagement; CSR as a way of diminishing regulatory threats from states; the business case for CSR; CSR as the product of civil regulation; CSR as a marketing tool; CSR as the fruit of altruistic leadership; CSR as the compulsion of the market; CSR as a realistic approach; CSR as a kind of fashion; CSR as the source of innovation; CSR as adapting to the demands of consumers and investors; CSR as a new "social contract". Having these above-mentioned concepts and motives in mind and heavily drawing and reflecting on Ronald Jeurissen's model (Institutional Conditions of Corporate Citizenship), a short case-study will be provided as -a reallife explanation for the complexity of the CSR-arena. The second part of the paper tries to discuss and identify the changing and remaining ways in which states are engaging with and influencing the CSR agenda. The paper argues that CSR would be undemocratic without the proper intervention of the state. Social responsibility can not be based solely on the discretion of private companies. CSR is not just about voluntary actions; it is also about the coercion of more traditional forms of statutory intervention. However, it would be fully unrealistic to still insist on the assumption that states are the one and only or main drivers for CSR. CSR is a new, very, complex, fluid and fragmented arena, where one should rethink its preconceptions about the traditional borderlines between "public" and "private", "state" and "market". Regulatory mechanisms are changing as well; new forms and models of CSR-related regulations are emerging.
