Abstract
The Companies Act introduces two new institutions. The first is " Measures Related to Statutory Intestate Succession by the State", which entered into force on 01 January 2022. The essence of this regulation is that, in the event of an inevitable succession by the State in respect of a shareholding in a business association, the legislator will provide assistance to the State in order to settle the legal situation relating to the succession as soon as possible. In the event of the succession of the State, the person exercising ownership rights on behalf of the State will notify the management of the business association concerned of the State's inherited quality and will request to call a general meeting. If the executive officer fails to comply with the request, the person exercising ownership rights on behalf of the State may apply to the commercial court. The other new provision is the " Proceedings Relating to the Reduction of the Number of Members of a General Partnership to One or the Termination of the Legal Relationship of All General Partners or All Limited Partners of a Limited Partnership ", which entered into force on 1 July 2022. The changes of the Civil Code made it necessary to clarify the procedural rules. It should be highlighted that the institution can only be applied when the death of a member has resulted in the company becoming a one-man business and the company wishes to restore its legal operation by involving the heir The legislation is basically a good one, the legislator is seeking to remedy a long-standing problem, but there is no provision protecting the interests of the heir.
