The original proposal advanced by the United States of America to the Hague Conference on Private International Law aimed at concluding a worldwide convention on jurisdiction, recognition and enforcement of foreign judgments in civil and commercial matters. But this project failed because of the deep differences between the legal systems, and especially because of the antagonistic interests of the US and the European Community. Finally the scope was restricted to exclusive choice of court agreements in B2B relations. The three pillars of the Convention are the following: the chosen court must hear the case, all other courts are obliged to decline jurisdiction, and the judgment given by the chosen court must be recognised and enforced in other Contracting States. The study analyses the main rules on choice of court agreements including the scope of the Convention. It focuses on the concept of `international cases' and `civil and commercial matters', the law applicable to the substantive validity of the choice of court agreements, the formal requirements and the obligations of the courts. There are also references to the provisions of the Brussels Convention and the Brussels I Regulation on prorogation of jurisdiction and the related case law of the European Court of Justice. Regarding the opinion of the European Court of Justice on the competence of the Community to conclude the new Lugano Convention, it is quite probable that it will be the Community itself as a Regional Economic Integration Organization (REIO) that will ratify the Convention, if at all, and not the Member States. If the Community ratifies it, the Convention will prevail over the applicability of the Brussels I Regulation so far as at least one of the parties to a choice of court agreement is resident in a Contracting State which is not a Member State. In this scope it will entail— amongst others — the prohibition of the applicability of the lis pendens rules of the Regulation. Notwithstanding the positive reactions in the legal literature, up to now no state has ratified the Convention yet. Whether it will be really a worldwide convention might depend on the fact whether the countries and the REIOs which play the main role in the international commerce, such as the US and the Community, will ratify it or not.
